WIDEN advised the shareholders of the wholesale and marketing company Vilandra, who sold 100 % of the shares to the Estonian company JNG Investments.
Vilandra is one of the largest wholesale and marketing companies in the Baltic States. Founded in 1993, the company distributes goods in Lithuania, Latvia, and Estonia under brands such as Fisherman’s Friend, Chupa Chups, Fruitella, Mentos, Haribo, Listerine, Neutrogena, Johnson&Johnson, and others. Companies affiliated with Vilandra in Lithuania provide logistics, warehousing, storage, and marketing services.
JNG Investments is a holding company engaged in corporate management, real estate leasing and operation, as well as information technology services. The group’s main activity is the wholesale trade and logistics of fast-moving consumer goods. The group represents brands such as Colgate-Palmolive, Libresse, Zewa, Dilmah, Bonduelle, and others in the Baltic countries.
WIDEN team advised Vilandra and its shareholders on all legal aspects of the transaction: providing information for the application for permission from the Competition Council, assisting with the preparation of the data room, preparing the transaction documents and representation of the clients in negotiations.
